By creating an account, accessing, or using Ludika VTT (the "Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms apply to all users of the Service, including hosts, players, and spectators.

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

2. Age Requirements

You must be at least 13 years old to use Ludika VTT. If you are under 18, you must have permission from a parent or legal guardian to use the Service.

By using the Service, you represent and warrant that you meet these age requirements and have the legal capacity to enter into these Terms.

3. User Accounts

To access certain features of Ludika VTT, you must create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account
• Providing accurate and current information during registration

You may not share your account with others, create multiple accounts, or use another person's account without permission. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Service Description and License

Ludika VTT is a browser-based virtual tabletop platform that allows users to play board games online. The Service provides tools for creating game tables, uploading game assets, managing tokens and cards, rolling dice, and facilitating multiplayer gameplay.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes.

This license does not include the right to: (a) resell or commercially exploit the Service; (b) modify, reverse engineer, or create derivative works; (c) use automated systems to access the Service; or (d) remove any copyright or proprietary notices.

5. User Content and Intellectual Property

Your Content: You retain all ownership rights to content you upload to Ludika VTT, including game boards, tokens, cards, reference images, and other materials ("User Content").

License to Us: By uploading User Content, you grant Ludika VTT a worldwide, non-exclusive, royalty-free license to use, store, reproduce, modify, and display your User Content solely for the purpose of providing and improving the Service.

Your Responsibilities: You represent and warrant that:

• You own or have the necessary rights to upload and share your User Content
• Your User Content does not infringe on any third-party intellectual property rights
• You have obtained all necessary permissions to use copyrighted game materials
• Your User Content complies with all applicable laws and these Terms

Copyright Infringement: We respect intellectual property rights. If you believe content on Ludika VTT infringes your copyright, please contact us at legal@ludikagames.com with details of the alleged infringement. We will respond to valid DMCA takedown notices in accordance with applicable law.

6. Game Content Guidelines

When uploading game content to Ludika VTT, you must ensure that:

• You have the legal right to use and share the game materials
• Content does not contain malware, viruses, or malicious code
• Content does not include illegal, obscene, or offensive material
• Content does not violate any third-party rights, including copyrights, trademarks, or patents
• Content is appropriate for a general gaming audience

We reserve the right to remove any User Content that violates these guidelines or these Terms, without prior notice.

7. Subscription and Payment Terms

Free Access: Players can join game tables hosted by others at no cost.

Premium Subscriptions: Hosting game tables and accessing certain premium features requires a paid subscription. Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected).

Payment: You agree to pay all fees associated with your subscription. All fees are non-refundable except as required by law or as explicitly stated in our refund policy.

Cancellation: You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. You will retain access to premium features until the end of the paid period.

Price Changes: We reserve the right to modify subscription prices. We will provide at least 30 days' notice of any price increases. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

8. Prohibited Uses

You agree not to use Ludika VTT to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Upload malicious code, viruses, or harmful software
• Harass, abuse, or harm other users
• Impersonate any person or entity
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or servers
• Use automated systems (bots, scrapers) to access the Service
• Collect or harvest personal information about other users
• Use the Service for any commercial purpose without our written permission

Violation of these prohibitions may result in immediate termination of your account and legal action.

9. Privacy and Data

Data Retention: We retain your User Content and account information for as long as your account is active or as needed to provide the Service. You may request deletion of your account and associated data at any time.

Game Data: Game tables, chat logs, and gameplay data may be stored on our servers. Hosts have control over their game tables and can delete game data at any time.

10. Service Availability and Modifications

We strive to provide reliable service, but we do not guarantee that Ludika VTT will be available at all times. The Service may be temporarily unavailable due to maintenance, updates, or technical issues.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will not be liable for any modification, suspension, or discontinuation of the Service.

We may also impose limits on certain features or restrict access to parts of the Service without notice or liability.

11. Termination

By You: You may terminate your account at any time by contacting us or using the account deletion feature in your profile settings.

By Us: We may suspend or terminate your account immediately, without prior notice, if you violate these Terms or engage in conduct that we believe is harmful to the Service or other users.

Effect of Termination: Upon termination, your right to use the Service will immediately cease. We may delete your User Content and account data, though we may retain certain information as required by law or for legitimate business purposes.

12. Disclaimers and Limitation of Liability

AS IS Service: Ludika VTT is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

No Warranty: We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not warrant the accuracy or completeness of any content on the Service.

Limitation of Liability: To the maximum extent permitted by law, Ludika VTT and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of or inability to use the Service.

In no event shall our total liability to you for all claims exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

13. Indemnification

You agree to indemnify, defend, and hold harmless Ludika VTT and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another party.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Ludika VTT operates, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration, except that either party may seek injunctive relief in court to protect intellectual property rights.

You agree to waive any right to a jury trial or to participate in a class action lawsuit.

15. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ludika VTT regarding the Service.

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.
